Revised Confidentiality & Non-Circumvention Agreement

1. Definition of Confidential Information
Recipient acknowledges that all materials accessible through the CigarHounds Investor Portal, or shared during subsequent discussions, constitute "Confidential Information." This includes, but is not limited to:
Technical Intellectual Property: Technology architecture, functional logic, database structures, and unique workflows (collectively "The Concept").
Business Intelligence: Business plans, financial projections, and market analysis.
Proprietary Relationships: Identity of and terms associated with partner relationships, vendors, and strategic alliances.
Unwritten Disclosures: Any oral or visual information disclosed in connection with the evaluation of CigarHounds, LLC.
2. Use and Non-Circumvention Restrictions
Purpose: Recipient shall use Confidential Information solely to evaluate a potential business or investment relationship with CigarHounds and for no other purpose.
Non-Use: Recipient shall not develop, or assist any third party in developing, any product or service that utilizes the proprietary architecture or functional logic disclosed by CigarHounds.
Non-Circumvention: Recipient agrees not to bypass CigarHounds to engage in any business relationship with the partners, vendors, or entities identified in the Confidential Information for a period of three (3) years.
3. Standard of Care & Personnel
Recipient shall protect Confidential Information using the highest degree of care used for its own most sensitive information, but in no event less than a reasonable degree of objective care. Access shall be restricted to Recipient's employees or advisors who (a) have a "need to know" for the Evaluation Purpose and (b) are bound by written confidentiality obligations no less restrictive than this Agreement.
4. Term and Perpetual Trade Secrets
General Term: The obligations of non-disclosure and non-use regarding general business information shall remain in effect for five (5) years from the date of last access to the portal.
Trade Secrets: Notwithstanding the above, any Confidential Information that constitutes a Trade Secret (including technology architecture and proprietary logic) under the Florida Uniform Trade Secrets Act (FUTSA) shall be protected for as long as such information remains a trade secret under applicable law.
5. Ownership and No License
CigarHounds, LLC remains the sole owner of all Confidential Information. No license, express or implied, is granted under any patent, copyright, trademark, or trade secret. The disclosure of information does not constitute a "public disclosure" that would waive any future patent rights.
6. Remedies
Recipient acknowledges that any breach of this Agreement would cause irreparable harm for which monetary damages would be inadequate. Accordingly, CigarHounds shall be entitled to seek injunctive relief to prevent further breach, in addition to any other legal remedies.
7. Governing Law and Venue
This Agreement is governed by the laws of the State of Florida. Any legal action arising out of this Agreement shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
8. Electronic Execution & Audit Trail
By proceeding through this request flow, checking the agreement box, and submitting your information, you provide a binding electronic signature accepting this Agreement. CigarHounds maintains an electronic audit trail (including IP addresses, timestamps, and document-specific download logs) which shall serve as definitive evidence of acceptance.
